Welcome to FFSN, a fantasy football content generation application that uses AI to create personalized league content. These Terms and Conditions ("Terms") govern your access to and use of the FFSN website and services (collectively, the "Service").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use FFSN. Please read these Terms carefully before using the Service. We may also have a separate Privacy Policy addressing data handling; if so, that policy is incorporated by reference.
Not Affiliated with ESPN: FFSN is an independent service not affiliated with, endorsed by, or associated with ESPN, the NFL, or any official fantasy league provider. Any references to ESPN or other third-party names and trademarks are for identification purposes only and remain the property of their respective owners.
You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use FFSN. By registering, you represent that you meet this age requirement and that all information you submit is truthful, accurate, and current.
Using FFSN requires creating an account with a valid email address and password. You agree to provide and maintain accurate registration information. You are responsible for keeping your login credentials confidential. Do not share your account or let others access it – you are liable for all activity under your account. If you become aware of any unauthorized use of your account or breach of security, you must notify us immediately so we can help secure your account.
We implement measures to protect your account, but you are responsible for using a strong password and protecting your own devices. FFSN will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials.
FFSN is a paid subscription service. By creating an account, you agree to pay any applicable subscription fees or charges for the Service, as described on our website or app. Payment is required to access the full functionality of FFSN's content generation features.
Fees are charged in advance (e.g., on a monthly or annual subscription basis) or as otherwise stated at the time of purchase. You must provide a valid payment method (such as a credit card or payment service) and hereby authorize us (or our third-party payment processor) to charge the subscription fee to your payment method. If payment cannot be processed or is past due, we may suspend or terminate your access to the Service. It is your responsibility to keep your billing information current and correct.
Unless otherwise specified, subscriptions will automatically renew at the end of each billing cycle at the then-current rate. You can cancel your subscription at any time through your account settings or by contacting support. If you cancel, you will retain access until the end of your paid term, but you will not be issued a prorated refund for the remaining period except at our sole discretion or where required by law. We reserve the right to change our fees or payment schedules, but we will notify you in advance of any material changes, and any fee changes will apply only to subsequent billing cycles.
Except as expressly provided in these Terms or required by law, all payments are non-refundable. We may consider refund requests in special cases (such as a technical issue with the Service) on a case-by-case basis, but granting a refund is at our sole discretion.
FFSN uses artificial intelligence to generate custom fantasy football content based on your league's data. By connecting your ESPN fantasy football league to FFSN, the Service can retrieve your league information – such as team names, rosters, scores, standings, and other relevant data – and create personalized content like articles, recaps, power rankings, match-up previews, and other commentary about your league. The content is primarily text-based, but in some cases AI-generated images or graphics may be included as part of the articles for entertainment purposes. All content is generated automatically for your personal use and enjoyment within your league.
The content provided by FFSN is for informational and entertainment purposes only. It is not official fantasy advice or an ESPN-endorsed report. You should not rely on FFSN's generated content for making important decisions (financial, legal, or otherwise) without independent verification. The Service aims to add fun and engagement to your fantasy football experience, but we make no guarantees of accuracy or completeness of the content. Statistics and information are drawn from your league data at the time of generation, and there may be delays or errors in the data updates.
You understand that the articles and images are generated by an AI system based on the data provided. While we strive for quality and relevance, AI-generated content might occasionally produce errors, unexpected phrasing, or content that may not perfectly reflect real-world events. By using the Service, you acknowledge these potential imperfections and agree that FFSN is not liable for any such issues in the content.
In order to generate content about your fantasy league, FFSN requires access to your league data on ESPN (a third-party platform). You may need to authenticate your ESPN account or provide an ESPN league API key or cookie (for private leagues) to allow FFSN to retrieve your league's information. By connecting your ESPN account/league to FFSN, you affirm that you are authorized to access that league data and that doing so does not violate any agreements (such as ESPN's Terms of Use) to which you are subject. You are solely responsible for complying with ESPN's terms and policies when using FFSN.
FFSN is not affiliated with or endorsed by ESPN, the Walt Disney Company, the NFL, or any other league organizer. ESPN's name and any related trademarks or logos are the property of ESPN Enterprises, Inc. and are used strictly for identification of the data source. FFSN's use of ESPN's fantasy league data is independent and based on user-provided access (with your permission). Nothing in our Service is intended to replace or imitate ESPN's official products. We do not have any partnership with ESPN, and ESPN is not responsible for the Service or its content.
Because FFSN relies on a third-party (ESPN) for league data, we cannot guarantee uninterrupted compatibility. ESPN may change or restrict its platform, API, or website without notice, which could impact FFSN's ability to function. You agree that FFSN is not liable for any inability to access data or generate content due to changes in third-party services or if your third-party account (e.g., ESPN account) is suspended or terminated. If ESPN's actions or policies prevent our access to your league data, we will make reasonable efforts to adapt, but service functionality may be limited.
Any names, logos, or information from third parties (for example, NFL team names, player names, ESPN brand names) that appear in the generated content belong to their respective owners. FFSN does not claim any ownership over such third-party intellectual property. You should not use any content generated by FFSN in a way that suggests endorsement or partnership with those third parties.
When you use FFSN, we collect certain information from you to operate the Service. This includes the data you provide during registration (such as your name, email address, and payment information) and data fetched from your connected fantasy league (such as league and team names, scores, player statistics, and other league settings). We use this information solely for the purpose of providing and improving the Service and generating your league content. We value your privacy – we will not sell or rent your personal data or league data to any third parties. Data is accessed and processed only as needed to deliver features to you (for example, creating an article about your last matchup) and for internal analytics to improve our algorithms.
Your account information and league data may be stored on our secure servers or those of trusted cloud service providers. We employ reasonable security measures to protect your data from unauthorized access or disclosure. However, you understand that no system can be 100% secure, and we cannot guarantee absolute security of the data. FFSN will notify you in accordance with applicable law if we become aware of any breach that compromises the security of your personal information.
FFSN uses cookies and similar technologies as part of its operation. In particular, if you connect a private ESPN league, our system will store an authentication token or cookie from ESPN that allows us to retrieve your league data without requiring you to log in each time. This ESPN cookie is stored securely and used only to automatically fetch data from your league (e.g. standings, scores, etc.). By using the Service, you consent to our use of cookies for maintaining your session and accessing your league information. We may also use cookies for other purposes such as saving your preferences or tracking aggregate usage of the site, in line with our privacy practices. You can disable cookies in your browser settings, but note that the Service may not function properly if cookies required for authentication are blocked or deleted.
We do not share your personal information or league data with third-party advertisers or marketers. The only third parties that may see your data are those essential to running FFSN – for example, our cloud hosting provider, payment processor, or the AI engine providing content generation – and even then, they will only have access to the data necessary for their function and are bound by confidentiality. We will never sell your data to any third party. All data collection and use is handled in accordance with these Terms and our Privacy Policy (if separately provided).
We retain your data for as long as your account is active and as needed to provide the Service. If you cancel your account or request deletion, we will delete or anonymize personal information and league data associated with you, except for information we are required to keep by law or for legitimate business purposes (such as transaction records for accounting or legal compliance).
By using FFSN, you acknowledge and agree to our data practices as described in this section. If you have questions about how we handle data, please contact us using the information at the end of these Terms.
FFSN produces AI-generated content (text and sometimes images) based on your fantasy league's data. This content may include summaries of your weekly matchups, humorous commentary, power rankings, team or player spotlights, and other creative narratives tailored to your league. While the content is personalized using your league information, the underlying templates, algorithms, and AI models are the intellectual property of FFSN (or our licensors). Each article or image is generated uniquely for you at that time.
We grant you a personal, non-exclusive, non-transferable license to use, view, and share the content generated for your league for non-commercial purposes. This means you and your league mates can enjoy the content privately. You may, for example, circulate the AI-generated articles among your league's members or save them for personal memories. However, you do not have the right to publish or distribute FFSN's generated content publicly (such as posting it on a public website, blog, or social media for general consumption) without our prior written permission. The content is intended for your private entertainment within the context of your fantasy league.
Currently, FFSN does not provide in-app tools to directly publish your league's generated content to the public. You agree not to widely publish or share the content outside your private league community. We reserve the right to introduce features in the future that allow broader sharing (for example, social media integration or a public-facing league page). If and when such features are introduced, we will update our Terms and/or provide guidelines on how content may be shared, and you will be expected to use any sharing features in compliance with those rules and with respect for any third-party rights.
Apart from the data fetched from ESPN, if the Service ever allows you to input or submit any content (for example, commenting on articles, uploading images, or customizing team information), you retain ownership of any original content you provide. However, by providing any such input or content to FFSN, you grant us a worldwide, royalty-free, sub-licensable license to use, reproduce, display, and adapt that content as needed to provide the Service (for example, incorporating your submitted comments into the article view). You also promise that any content you submit will not violate any law or anyone's rights (see User Conduct below for prohibited content).
You must not remove or obscure any attribution, watermark, or branding on the generated content. We may include a small footer or watermark on articles or images indicating they were generated by FFSN. This notice must remain intact if you share the content with others. You also agree not to falsely represent the content as originating from another source.
If you provide feedback or suggestions to us regarding the Service or content (for example, ideas to improve articles or new feature requests), you understand that we may use your feedback without obligation or compensation to you. Such feedback is entirely voluntary, and we are free to use it as we see fit to improve FFSN.
By using FFSN, you agree to use the Service only for its intended purpose and in accordance with these Terms and all applicable laws and regulations. You are solely responsible for your conduct while using the Service. You agree that you will NOT:
Violate Laws or Rights: Use FFSN for any illegal purpose, or transmit any content that is unlawful, defamatory, harassing, threatening, or infringes on others' intellectual property or privacy rights. This includes generating or sharing content via FFSN that would violate any law or regulation, or using the Service in a way that breaches any contract or duty you have (such as a workplace or league agreement).
Misuse League Access: Attempt to access or retrieve data from any fantasy league or ESPN account that you do not own or have permission to use. You must only use FFSN with leagues you are legitimately part of. Do not use another person's ESPN credentials or impersonate someone else to gain unauthorized access.
Interfere with the Service: Interfere with or disrupt the operation of FFSN. This includes not engaging in any activity that could disable, overburden, or impair the Service (e.g., launching denial-of-service attacks, introducing malware, or using automated scripts to excessively request data). Also, you agree not to attempt to circumvent any security or authentication measures of the Service.
Reverse Engineer or Copy: Attempt to reverse engineer, decompile, or otherwise extract the source code or underlying algorithms of FFSN's software or AI systems, except to the limited extent allowed by applicable law. Similarly, you agree not to copy, scrape, or harvest data from FFSN except as allowed by the normal use of the Service. Automated data collection (bots, spiders, etc.) from our Service is prohibited.
Commercial or Unauthorized Use: Use FFSN or its content for any commercial purpose outside the scope of these Terms. For example, you may not resell the content generated by FFSN, charge others for access to FFSN content, or use the Service to generate content for a commercial enterprise without our permission. You also agree not to use the Service to advertise or promote third-party products or services to other users without authorization.
Post Offensive/Illegal Material: If at any point FFSN allows you to input custom content or communicate (such as adding comments or customizing narrative), you must not provide any content that is obscene, pornographic, hateful, invasive of privacy, or otherwise objectionable. You also must not input personal data about others without consent. Keep it clean and relevant to fantasy football.
Misrepresent or Remove Notices: You will not misrepresent yourself as being endorsed by or associated with FFSN or ESPN. Do not remove any copyright, trademark, or other legal notices from the content or the Service interface. Any attempt to pass off FFSN's content as your own creation (beyond your license to use it as allowed) or to remove branding is prohibited.
Violation of the above rules constitutes a breach of these Terms and may result in suspension or termination of your account (see Termination section below), as well as potential legal consequences. We reserve the right to investigate any suspected misuse of the Service and to take appropriate action, including legal action or reporting to law enforcement, if we believe a violation of law has occurred.
All rights, title, and interest in and to the FFSN Service (including the website/app design, software code, algorithms, AI models, templates, features, and overall look and feel) are owned by FFSN or its licensors and are protected by intellectual property laws. This includes the FFSN name and logo, which are trademarks of our company. You are not granted any ownership of these intellectual property rights under these Terms. Your use of the Service is subject to a limited license as described below.
Subject to your compliance with these Terms and payment of any applicable fees, FFSN grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service and any content generated for your personal, non-commercial enjoyment. This license is for use only as intended – to manage your account, connect your league, and receive generated content. You may not copy or distribute any part of the Service or content except as explicitly allowed by these Terms. Any rights not expressly granted to you are reserved by FFSN.
There is a unique situation with AI-generated content. FFSN's system creates content using your data, but the templates and AI processes belong to us. We retain ownership of the generated text and images provided to you, to the extent such content is subject to intellectual property rights. However, as stated in Content Generation and Usage Rights, we give you permission to use that content for your personal, league-related purposes. In other words, you have a license to enjoy and share the content within your circle, but FFSN (or our licensors) retains the underlying ownership. This reservation is mainly to prevent unauthorized commercial exploitation or republication beyond the intended use. We will not claim ownership of the raw data originating from ESPN or your league (such data remains subject to ESPN's terms and any rights you have in it), but any creative expression produced by FFSN from that data is part of our Service offering.
All trademarks, logos, and service marks displayed on FFSN (including "FFSN" and any related logos) are our property or the property of other parties, as applicable. You are not permitted to use these trademarks without our prior written consent (or the consent of the respective owners). This includes using any trademarked names of third parties that may appear in generated content – for example, "ESPN", NFL team names, etc., are trademarked by their owners and appear in FFSN output for contextual purposes only. Using FFSN does not grant you any right to use those names independently of the Service's content.
We respect intellectual property rights and expect users to do the same. If you believe that any content on FFSN infringes your copyright or other IP rights, please contact us with detailed information so we can investigate (see Contact Information below). We reserve the right to remove content or restrict access if we receive credible notices of infringement, and to terminate accounts of repeat infringers in accordance with the Digital Millennium Copyright Act (DMCA) or other applicable laws.
If FFSN includes any open-source software or third-party libraries, those components may be subject to their own licenses. We will provide attributions or license information as required within the Service. Those third-party licenses are incorporated into our Service, and to the extent there is a conflict between those licenses and these Terms regarding the use of those components, the third-party license will prevail for that component.
FFSN IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE SERVICE. This includes, but is not limited to, any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not guarantee that the Service will meet your specific needs, achieve any particular results, or be error-free.
FFSN makes no warranty that the content generated will be accurate, reliable, or up-to-date. Use of any information or content obtained through FFSN is at your own risk. We also do not warrant that the Service will be available at all times or without interruption. You acknowledge that the Service's availability can be affected by factors outside our control, such as internet outages, third-party system issues (e.g., ESPN platform changes), or other technical problems. Downtime may occur, and we are not liable for any such interruptions.
You understand that FFSN relies on artificial intelligence and user-supplied data. We do not warrant the quality or suitability of AI-generated content. The AI may occasionally produce content that is nonsensical, inappropriate, or irrelevant to your league (though we strive to avoid this). We are not responsible for any action you take in response to the AI content. (For example, if you make a fantasy team trade or any decision based on an FFSN-generated article, you assume full responsibility for that decision.)
While we aim to keep the Service secure and free of bugs or harmful components, we do not warrant that FFSN will be secure or free from viruses, malware, or other harmful code. You are responsible for using up-to-date antivirus software on your devices. Any material downloaded or otherwise obtained through FFSN is done at your own discretion and risk.
Except as explicitly set forth in these Terms, no information or advice (written or oral) given by FFSN or its representatives shall create any warranty. We do not guarantee any specific outcome from using the Service (such as winning your fantasy league or generating any particular type of content).
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. In such cases, any implied warranties are limited to the minimum scope and duration permitted by law.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL FFSN OR ITS PARENT COMPANY, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE OR ANY CONTENT IT PROVIDES. This includes, without limitation, any damages for lost profits, lost data, loss of goodwill, service interruption, computer damage, or system failure, or the cost of procurement of substitute services, or for any damages for personal or bodily injury or emotional distress arising out of or related to use of the Service. These limitations apply whether such claims are based in contract, tort, negligence, strict liability, or any other legal theory, and regardless of whether we have been advised of the possibility of such damages.
Our total liability to you for any and all claims arising from or related to the Service or these Terms will not exceed the amount you have paid to FFSN in subscription fees in the six (6) months immediately prior to the event giving rise to the claim. If you have not paid any amount (for example, during a free trial or use of a free tier), our total liability shall not exceed US $100. This limitation of liability is cumulative and not per-incident; multiple claims will not increase the cap.
FFSN specifically disclaims any liability for any actions or omissions of third parties that affect the Service. This includes the actions of ESPN (such as data inaccuracies or account suspensions), payment processors, or any third-party tools we use. We are not liable for any damage or loss that results from retrieving or using data from ESPN or any third party, or from the content generated using such data. Additionally, we are not responsible for any unauthorized access to or use of your data, except to the extent that such access results from our failure to implement reasonable security measures.
You assume full responsibility for how you choose to use the Service and any content generated. FFSN shall not be liable for any decisions you make or actions you take based on the content (for example, we are not responsible for any fantasy league losses or lost wagers that may occur from following suggestions or narratives in our content). The Service is meant for fun and engagement; any real-world consequence of using it is strictly at your own risk.
Because the content is generated based on user data, we cannot always foresee what will be produced. You agree that we will not be liable for any content that you or anyone in your league may find offensive, inaccurate, or otherwise objectionable. We encourage you to provide feedback if something inappropriate is generated, and we will attempt to correct issues, but we are not financially responsible for any distress or damages caused by content.
Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of the above limitations may not apply to you. In those jurisdictions, our liability will be limited to the greatest extent permitted by law.
Each of the limitations of liability above is intended to be independent of the others. If any limited remedy in these Terms is found to have failed of its essential purpose, or if any limitation or exclusion of liability is deemed unenforceable, all other limitations, exclusions, and remedies shall still remain in effect to the fullest extent permitted by law.
You agree to indemnify, defend, and hold harmless FFSN and its parent, affiliates, and their respective officers, directors, employees, and agents (the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) that arise out of or relate to:
For example, if you use FFSN to obtain data or content in violation of ESPN's terms or another third-party's rights and that party takes legal action against FFSN as a result, you agree to cover all costs and damages we incur. Similarly, if you share FFSN content publicly in breach of these Terms and a third party (such as a professional sports league or a person mentioned in the content) raises a claim, you will be responsible for it.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In that case, you agree to cooperate with our defense of such claim and you will not settle any such matter without our prior written consent. Your indemnification obligations will survive any termination of your account or the Service, or of these Terms.
You may stop using the Service at any time. You may also delete your FFSN account by following the procedures on the site or contacting customer support. Termination of your account will be effective once processed (and we will confirm via email or in-app notification). Keep in mind that simply uninstalling an app or stopping use will not automatically cancel any recurring subscription – you must actively cancel the subscription to stop billing (see Fees and Payment above for cancellation policy).
We reserve the right to suspend or terminate your access to FFSN (or portions of the Service) at any time, with or without notice, for any valid reason. Valid reasons include, but are not limited to:
We will generally try to provide notice of suspension or termination when feasible, but we may not be able to do so in all cases (for instance, if we are legally prohibited or if immediate action is needed to prevent harm).
Upon termination of your account, whether terminated by you or by us, your right to access or use the Service will immediately cease. You should download or save any content or data you wish to keep prior to terminating your account, as we may delete your data after account closure (except as noted in Data Retention for data we may keep). We are not liable to you or any third party for termination of your account or blocking of your access to the Service. If your account is terminated due to a violation of these Terms, you will not be entitled to any refunds of fees paid. In other cases of termination, we may provide a pro rata refund for any unused portion of a prepaid subscription, but this is at our discretion unless required by law.
The following provisions will survive any termination of these Terms or of your access to the Service: any obligations to pay accrued fees, all terms regarding ownership or intellectual property, disclaimers of warranties, limitations of liability, dispute resolution (including arbitration agreement and class action waiver, if any), and indemnification, and any other provisions which by their nature are intended to survive termination.
We also reserve the right to discontinue or shut down the FFSN Service entirely. If we decide to cease operations of FFSN, we will make reasonable efforts to notify active subscribers in advance via the email on file and/or by posting a notice on our website. In such an event, we would refund any prepaid subscription fees covering the period after service cessation. However, we will not be liable for any other losses or damages you may claim due to the Service being discontinued.
You understand that FFSN is an evolving service. We may add, modify, or remove features as we improve the product. For example, we may introduce new types of content, integrate additional fantasy platforms besides ESPN, enable social sharing of content, or change how the AI generates articles. Conversely, we might remove or alter features that are no longer feasible or popular. We will try to inform users about major changes, but minor adjustments may be deployed without specific notice. Your continued use of FFSN after changes are made constitutes your acceptance of those changes. If you strongly disagree with a change that materially affects your use, you may need to stop using the Service.
If FFSN provides any client software or apps (such as a mobile app), you may be required to download updates to continue using the Service effectively. These updates may be automatically downloaded and installed on your device once released. By using the Service, you consent to such updating. FFSN is not responsible for issues arising from failure to install the latest version of any software we provide.
As noted, a future update may enable you to publish or share your league content more broadly (for instance, a "share to social media" button). When and if such a feature is introduced, we may impose additional terms or settings governing its use (to ensure, for example, that no sensitive information is shared without consent). We will likely update this Agreement or notify you at that time. By using any new feature, you agree to any additional terms applicable to it.
From time to time, we may release beta or experimental features. These might be labeled as "beta", "preview", or "early access". Such features are provided for testing and feedback purposes and may not be as reliable as other parts of the Service. We reserve the right to modify or remove beta features at any time, and to decide whether they become permanent. Use of beta features is voluntary and "as-is", and you assume all risk in using them. We greatly appreciate user feedback on these, which helps us improve.
We appreciate your understanding that product changes are a part of improving FFSN. We welcome feedback and will often consider user input when making significant changes.
FFSN may revise or update these Terms from time to time. If we make material changes, we will notify you by e-mail (sent to the address on your account) or by prominently posting a notice on our website or within the app prior to the change becoming effective. The notice will designate a reasonable advance notice period (e.g., 15 or 30 days) before the new terms take effect, during which you may reject the changes by discontinuing use of FFSN and, if applicable, canceling your subscription.
If you continue to use the Service after the new Terms become effective, you will be deemed to have accepted the updated Terms. For non-material updates or clarifications, we may not provide explicit notice beyond updating the "Last Updated" date of the Terms (visible at the top of this document if provided). We encourage you to periodically review the Terms to stay informed of any changes.
It is your responsibility to review any updated Terms, and your continued use of FFSN constitutes acceptance of those changes. No modification or waiver of any provision of these Terms by you (the user) will be valid or binding unless in a writing signed by an authorized representative of FFSN. Our customer support representatives are not authorized to modify the terms of this Agreement, either verbally or in writing.
These Terms and any dispute arising out of or in connection with the Service or this Agreement will be governed by and construed in accordance with the laws of the State of Florida, USA, and (to the extent not inconsistent) the federal laws of the United States. This governing law applies no matter where in the world you use the Service. If you reside outside the United States, you understand and agree that U.S. and Florida law will apply to your use of FFSN. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.
Subject to the arbitration provision below, you agree that any legal action or proceeding arising under or relating to these Terms or the Service shall be brought exclusively in the courts (state or federal) located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts. You waive any objections to venue in those courts, including any claim that such proceedings have been brought in an inconvenient forum. If you use the Service on behalf of a business or other entity, that entity also consents to the same exclusive jurisdiction and venue.
At FFSN's sole discretion, we may require you to submit any dispute, claim, or controversy arising out of or relating to your use of the Service or these Terms (including the breach, termination, enforcement, or interpretation of them) to binding arbitration rather than court. Arbitration is a method of dispute resolution that is less formal than a lawsuit in court and uses a neutral arbitrator instead of a judge or jury. If we elect arbitration, it will be conducted on an individual basis under the Consumer Arbitration Rules of the American Arbitration Association (AAA) (or a similar established arbitration provider) in effect at that time, except as modified by these Terms. You may obtain AAA rules and filing instructions on AAA's website. Unless you and FFSN agree otherwise, the arbitration will be conducted in Miami, Florida (or the nearest AAA facility) or, for your convenience, via teleconference or written submissions if in-person hearing is not reasonably feasible. The arbitrator will have authority to award legal and equitable relief available in a court, but cannot award punitive or exemplary damages, or any damages limited or waived by these Terms. Judgment on the arbitration award may be entered in any court having jurisdiction.
You and FFSN agree that any proceedings to resolve or litigate any dispute will be conducted solely on an individual basis and not as a class action or consolidated proceeding. You further agree to waive any right to a jury trial in any lawsuit, to the extent allowed by law. This means:
If this class action waiver is found to be unenforceable, then the entirety of the arbitration agreement (if one has been invoked) shall be null and void, and in such case, the dispute will be decided exclusively by a court of competent jurisdiction in Miami, Florida, and you agree to submit to the personal jurisdiction of that court.
We recognize that arbitration and class waiver provisions may not suit everyone. If you do not wish to be bound by the arbitration and class-action waiver in this section, you must notify us in writing within 30 days of first accepting these Terms (unless a longer period is required by applicable law). If you opt out of arbitration, any disputes will instead be resolved in the courts as specified above, and you still agree to waive the right to participate in class actions as stated. Opting out of arbitration will not affect any other provisions of these Terms, including those regarding governing law or courts.
Notwithstanding the foregoing arbitration agreement, either party may bring a claim in small claims court if it qualifies. Also, either party may seek injunctive relief in a court of law to prevent irreparable harm (e.g., unauthorized use of intellectual property or breach of confidentiality) without first going through arbitration.
This dispute resolution section shall survive any termination of your account or the Service. You acknowledge that you have read and understood this Arbitration Agreement and Class Action Waiver, and agree to its terms.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. The invalid provision will be deemed modified to the least degree necessary to remedy the invalidity while retaining as much of the original intent as possible, or if that is not possible, it will be severed from these Terms.
Our failure to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision. Likewise, any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of FFSN. A waiver of one breach shall not be deemed a waiver of any other breach of the same or different nature.
You may not assign or transfer these Terms (in whole or in part) or any rights or obligations hereunder to anyone else without our prior written consent. Any attempt by you to transfer or assign these Terms without consent is null and void. FFSN may assign or transfer these Terms or any rights under them to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets to which these Terms relate, without your consent. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
These Terms are between you and FFSN. Except as expressly provided in these Terms, no other person or entity has any rights to enforce any term of this Agreement. For example, even though ESPN is referenced and disclaimed, ESPN is not a party to these Terms and has no obligations or liability under this contract with you. The only permitted third-party beneficiaries of this Agreement are our affiliates, and only in the sense that they may enforce provisions (such as intellectual property protections) on our behalf if needed.
Nothing in these Terms creates any partnership, joint venture, agency, franchise, or employment relationship between you and FFSN. You are an independent user of the Service, and there is no fiduciary or professional relationship created by your acceptance of these Terms or use of the Service. You have no authority to make or accept any offers or representations on our behalf.
FFSN will not be liable for any delay or failure to perform as required by these Terms because of any cause or condition beyond our reasonable control. This includes, but is not limited to, acts of God, natural disasters, war, terrorism, labor conditions, power failures, internet disturbances, or the actions of third parties (including any suspension or termination of services by ESPN or other data providers).
We may provide notices or communications to you via email (to the address associated with your account), via in-app notifications, or through postings on our website. You consent to receive electronic communications from us for all purposes. If you need to give notice to us, you must do so in writing via email to our support address or via certified mail to our business mailing address provided below. Email notices to FFSN are considered received 24 hours after being sent, provided that you send the email to the correct address and do not receive an error message. Postal notices are considered received 5 business days after mailing if sent domestically (or 10 business days if international).
These Terms (along with any additional policies or guidelines we provide, such as our Privacy Policy or any end-user license agreement for a downloadable application) constitute the entire agreement between you and FFSN regarding the Service. They supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding the subject matter. You acknowledge that you have not relied on any representation, warranty, or statement not expressly set out in these Terms.
Section titles and headings in this Agreement are for convenience only and have no legal or contractual effect.
These Terms are written in English. If we provide a translation, it is for convenience only, and the English version will govern in case of any conflict or ambiguity in interpretation.
